Job Description
Reporting to the Senior Vice President and General Counsel of Kinross Gold Corporation (“KGC”), the Vice‑President, Legal (U.S.) will be responsible for leadership, management and administration of the legal affairs of KGC’s U.S. operations. This role will act as the lead legal advisor to the U.S. operations management team and mine sites. The role will also provide legal leadership, advice and support to the Corporate office and other regions on U.S. legal matters.
Job Responsibilities
Provide legal leadership, oversight and direction and advice on the legal affairs of operations in the U.S., including legal support in connection with land, environmental, permitting, employment, labor, workers compensation, tax, health and safety matters, as more particularly set out below:
•Advise on and negotiating a broad range of commercial and contractual matters, including exploration options/joint ventures, construction projects, supply chain/procurement, and other arrangements and matters in support of mining and exploration operations.
•Manage and support all U.S. acquisition / divestment transactions from due diligence through closing to all post-closing and integration matters.
•Manage all legal support for U.S. joint ventures.
•Provide legal leadership and advice on human resource matters including acting as lead legal advisor to U.S. Benefits Committee, and member of International Long-Term Savings Account Committee.
•Act as officer and director of all U.S. subsidiaries, and developing, implementing, overseeing and advising on corporate governance matters including corporate approvals, resolution and other corporate actions.
•Manage and oversee the U.S. land department including legal advice and support on U.S. projects.
•Provide legal leadership and advice on permitting for U.S. activities, and compliance with applicable laws and regulations, and regional policies and procedures.
•Manage and direct all manner of dispute resolution, including pre-filing negotiation, administrative charges, administrative investigations and information requests, third-party subpoenas, mediation, arbitration, litigation and appeals.
•Provide advice and support to the Corporate Compliance team on matters of U.S. law in respect of the Kinross global compliance program including the core corporate policies and procedures, training and awareness programs, management and direction of U.S. whistleblower and other internal investigations, and regular reviews for alignment with applicable laws and best practices.
•Provide monthly / quarterly reporting on material legal claims and legislative changes.
•Manage and evaluate outside counsel and develop and implement a disciplined and consistent process for the use of outside counsel.
•Represent the company in meetings of the National Mining Association Environment Subcommittee.
•Manage and oversee cross functional teams including leadership and management of the regional office as called upon.
Education and Experience
•Juris Doctorate from an accredited law school.
•Qualified to practice law in the U.S.
•Minimum 15 years of corporate/commercial legal practice at a top-tier law firm and/or in-house in the natural resources industry, preferably in mining.
•Excellent knowledge of U.S. corporate governance, compliance, corporate and commercial transactions, environmental, and health and safety, employment matters and dispute resolution.
•Strong understanding of mining operations, including permitting.
•Strong business orientation, acumen and judgment, with an ability to advise senior management.
•Superior analytical skills, exceptionally organized and detail oriented, with a demonstrated ability to work in a dynamic, fast-paced environment.
•Strong negotiation, writing and drafting skills, particularly involving transactional and other contractual arrangements.
•Proven leadership and management skills, and ability to work in a dynamic, cross-functional team environment and build relationships at all levels.
•Strong interpersonal and communication skills.”
