Job Summary
The Senior Counsel will work with colleagues in the Corporate Services section of a large corporate law department in a publicly traded, international energy company. The role will serve as a primary legal advisor to the Finance/Treasury organization (including Credit, Cash Management, Tax, and Insurance), with particular emphasis on legal credit support, including credit risk mitigation, financial assurances, collateral structures, and credit related transactional support
Position Overview
Your responsibilities may include:
- Credit Support & Financial Assurances: Advise on, structure, draft, and negotiate legal credit support instruments, including NAESB/ISDA/MSPA/etc., credit support language, accession agreements, letters of credit, reimbursement agreements, parent company and affiliate guarantees, bank guarantees, surety bonds, escrow arrangements, collateral security agreements, creditworthiness standards, and decommissioning security mechanisms
- Credit Risk & Treasury Support: Provide full‑service legal support to Credit & Risk Control, Treasury/Cash Management, and Corporate Finance, including support for long-term structured agreements with credit terms, and operational credit programs
- Financings & Capital Markets: Support corporate debt offerings, S‑3 registration statements, indenture supplements, tender offers, redemptions, commercial paper programs, and credit facilities
- Project & Structured Finance: Advise on project finance structures and financial ISDA documentation, including credit support annexes and collateral provisions
- Corporate Law: Advise on corporate governance, entity formation, board and officer actions, and internal corporate approvals
- Transactional Support: Provide legal support for M&A, joint ventures, commercial investments, and insurance‑related arrangements, with emphasis on credit support requirements
- Must be legally authorized to work in the United States
- Juris Doctorate from an ABA‑accredited law school
- Admission to the Texas Bar or another appropriate U.S. jurisdiction
- 7 or more years of legal experience with corporate and finance‑related matters
- 3 or more years of experience negotiating core credit‑support instruments such as LCs, guarantees, and collateral agreements
- Significant, directly relevant experience prioritizing legal credit support, including structuring, negotiating, and advising on:
- Standard industry contracts e.g., ISDA, NAESB, MSPA
- Letters of credit and reimbursement agreements
- Parent and affiliate guarantees
- Surety bonds and bank guarantees
- Escrow and collateral security agreements
- Creditworthiness standards and financial assurance frameworks
- Experience serving as an integrated legal partner to Credit & Risk Control and Corporate Finance organizations
- Prior experience in a top‑tier law firm advising companies (not only lenders) on credit support and finance matters; in‑house experience is a plus.
- Intermediate knowledge of securities laws and corporate financing activities
- Demonstrated ability to manage complex matters affecting cross‑functional teams
- Excellent written and oral communication, negotiation, and client‑counseling skills
- Strong judgment, initiative, and ability to thrive under pressure and operate with limited supervision
- Delivers results through realistic planning to accomplish goals
- Listens actively and invites dialogue for shared understanding, then influences and acts to drive performance and achieve results
- Builds strong relationships based on trust and seeks collaboration across organizational boundaries to achieve goals
