Job Summary:
Reporting to Kindle's General Counsel, the Managing Counsel – Development EPCM will focus on EPC/EPCM, a key role in our in-house legal team supporting the growth of our development business. The role works closely with the Engineering, Procurement Construction Management (EPCM) team, development team, and executive leadership with frequent interaction with outside counsel, counterparties and vendors.
Job Duties/Responsibilities:
- Assist EPCM team and development team with legal workflow to support the development, financing, construction, and operation of natural gas fired power generation facilities
- Negotiate engineering, procurement, and construction agreements (EPC agreements); major equipment supply contracts for power generation; contracts to procure, manage, and mitigate risks in full life cycle of engineering, procurement and construction supply
- Provide support to colleagues on legal and finance team during project financing phase, including diligence support with respect to EPCM contracts and structure
- Focus on the EPC focused subset of the workflow for development projects, from inception through financing, construction and operation and/or sale of the constructed power generation facilities to support our multiple pending projects and the pipeline of new projects
- Provide leadership and guidance to Senior Counsel – Development/EPCM
- Occasional work outside of normal business hours
- Limited travel required
- Juris Doctor degree from an accredited U.S. law school.
- Licensed with active, good standing in at least one U.S. jurisdiction.
- Managing Counsel: 25+ years of progressively responsible experience, including significant prior management experience.- Prior experience in the power / energy industry and construction (i.e. EPC agreements, equipment supply for power generation, construction agreements, procurement contracts and processes) is required
- In-house experience within power generation industry strongly preferred.
- Experience leading EPCM transactions with external counsel.
- Strong oral and written communication and professional interpersonal skills to successfully interact with all colleagues, peers, senior management, and external constituencies
- Relies on experience and independent judgment to plan and accomplish goals encompassing multiple priorities and deliverables while seeking guidance as appropriate
- Ability to translate legal issues into practical business solutions
