Associate General Counsel - M&A

Superior is currently seeking an Associate General Counsel - M&A to join our team in Houston, TX (Downtown) (On-Site 5 days).

Duties and Responsibilities:

- Lead and oversee all legal aspects of M&A transactions, including drafting, negotiating, and reviewing transaction documents.

- Manage and coordinate legal due diligence processes to identify risks and opportunities.

- Provide strategic legal advice to senior leadership and cross-functional teams on M&A matters.

- Collaborate with external legal counsel, as necessary, to ensure seamless execution of transactions.

- Develop and implement strategies to mitigate risks and ensure compliance with applicable laws and regulations.

- Manage and coordinate legal due diligence processes to identify risks and opportunities.

- Stay informed on industry trends, legal developments, and regulatory changes impacting M&A activities.

- Support the integration process for newly acquired entities, ensuring legal compliance and effective transition

Minimum Requirements

- A minimum of 7 years relevant law experience - M&A, corporate, banking or related areas.

- A combination of law firm and in-house experience strongly preferred.

- A license in good standing to practice law in a U.S. jurisdiction with the ability to obtain a law license or limited in-house counsel license in Texas.

- Strong expertise in drafting and negotiating complex transaction agreements.

- Excellent communication and interpersonal skills.

- A positive attitude, high energy, desire to grow with the business and help maximize opportunities.

- Proven track record of managing multiple transactions simultaneously in a fast-paced environment.

- A strong sense of ownership and dedication to personal excellence and improvement.

Education

A Juris Doctor (J.D.) degree from an accredited law school
