Position Snapshot
The Assistant General Counsel - Finance will be the lead lawyer on Zelestra’s project and tax monetization finance transactions. This is a key role in a project finance in the energy industry with strong experience in debt work in a fast-paced environment, which will require sophisticated finance expertise supporting Zelestra’s ambitious pipeline and business plan. provides strategic legal support to the organization across a broad range of matters, including regulatory compliance, project development, commercial transactions, environmental considerations, and corporate governance. In addition to the focus on finance transactions, the Assistant General Counsel – Finance will, as time allows, support the project development and M&A transactions. This role partners closely with senior leadership, operations, engineering, procurement, and external stakeholders to advance the company’s mission of delivering reliable, sustainable, and clean energy solutions.
Position Qualifications & Experience
- Juris Doctor (JD) from an accredited law school; active bar membership in at least one U.S. state. - 8–10+ years of legal experience, ideally with a mix of law firm and in‑house roles.
- Deep experience with project finance and tax monetization structures
- Expertise in energy finance, utilities, power marketing, and renewable energy development
- Strong analytical, communication, and stakeholder‑management skills.
- Primary internal legal advisor on all of Zelestra’s back-leverage, construction/term/tax equity bridge/tax credit transfer bridge transactions.
- Provide advice regarding transaction structuring and execution
- Advice regarding equipment and invoice finance transactions.
- Coordinate borrower diligence responses
- Coordinate satisfaction of closing conditions (real estate, permitting, etc.)
- Oversight of External Counsel
- Draft, negotiate, and review a broad range of commercial agreements.
- Advise on site control, interconnection, permitting, and environmental matters
- Support corporate governance, board matters, and internal policies.
Compensation & Benefits
The anticipated starting salary for this position is based on experience, qualifications, and education in a remote-working environment: $239,000 - $280,000 base salary.
