The Associate General Counsel position serves as a trusted advisor to business leaders of Mitsubishi Power Americas, Inc. and its affiliates, with a primary focus on structuring, drafting, reviewing, and negotiating complex Engineering, Procurement, and Construction (EPC) agreements, Equipment Supply Purchase agreements (EPSA) and related commercial transactions. The attorney will support the full project lifecycle—from early development and procurement through construction, commissioning, and operations—while providing pragmatic, risk-balanced guidance aligned with corporate strategy, regulatory requirements, and company policies. The position may be filled at the Counsel or Senior Counsel level depending on experience and demonstrated skills.

- Act as a primary legal partner for large-scale power generation and energy infrastructure projects across the EPC lifecycle.
- Draft, review, and negotiate complex commercial agreements including EPC agreements, EPSAs, services, and major procurements.
- Conduct transactional risk assessments and implement mitigation strategies aligned with corporate risk tolerances.
- Ensure project and contract risks align with approvals and business objectives.
- Advise on project execution issues including change orders, claims, disputes, warranties, and contract remedies.
- Collaborate with commercial operations, sales, supply chain, engineering, project management, finance, tax, operations, and asset management teams.
- Monitor and advise on applicable laws, regulations, permitting, and industry standards.
- Deliver internal training on risk; manage outside counsel including scope, budgets, and performance.
- Build and maintain strong relationships with internal and external stakeholders.
- Communicate material risks and recommended actions to executive and project leadership.
- Uphold ethics, integrity, EHS compliance, confidentiality, and contribute to a positive team culture.
- Juris Doctor (JD) from an ABA-accredited law school; active bar membership in good standing or eligibility for in-house counsel status.
- 15+ years of post-qualification legal experience with demonstrable transactional drafting and negotiation skills.- Experience supporting complex commercial transactions and ability to manage multiple priorities in a fast-paced environment.
- Ability to provide clear, practical advice to business leaders and collaborate across functions to close deals and resolve issues.
- Excellent written and verbal communication skills, including simplifying complex legal concepts.
- Substantial experience with EPC or construction contracting for large-scale power generation, renewable energy, or major infrastructure projects (preferred).
- Experience with claims management, dispute resolution, arbitration/litigation strategy, and coordination with insurers and outside counsel (preferred).
- Familiarity with project finance, joint ventures, supply chain risk, export/import controls, and insurance requirements.
- Fluency in Spanish and/or Japanese preferred; foreign jurisdiction qualifications a plus.
- Comfort working across international time zones and multicultural environments.
- Proficiency with database, project management, spreadsheet, and word processing software.
