Orla operates the Camino Rojo Oxide Gold Mine, a gold and silver open-pit heap leach mine, located in Zacatecas State, Central Mexico. This low-cost operation is 100% owned by Orla, covers over 139,000 hectares, and includes a large sulphide mineral endowment located beneath the oxide resources. We are also advancing permitting and development on our South Railroad Project, a feasibility-stage, open-pit heap leach project located on the prolific Carlin trend in Nevada. This project is part of our larger South Carlin Complex which includes a prospective land package. We recently acquired the Musselwhite Mine located in Northern Ontario on Lake Opapimiskan, a gold mine with more than 25 years of operating history. The addition of Musselwhite has allowed Orla to more than double our gold production and provide a strategic entry into a Tier 1 mining jurisdiction. The Musselwhite Mine is highly prospective with the potential to expand resources and mine life for years to come.

The purpose of this role is to minimize risks for the organization, through effective administration of the Company’s legal, corporate, securities, and governance matters. This role offers meaningful exposure to public company governance, securities compliance, and cross-border mining operations, with increasing responsibility over time. This role will report directly to our Vice President, Legal.
This role is preferably based in Vancouver, but Toronto will be considered for the right candidate. The position may be structured as in-person or hybrid.
Responsibilities include:
- Assist with compliance with Canadian and U.S. securities laws, stock exchange requirements (TSX and NYSE American), and continuous disclosure obligations.
- Support the drafting, review, and coordination of public disclosure documents, including preparing the Annual Information Form and Management Information Circular, as well as assisting the Finance, Investor Relations and Technical Services groups with reviewing the MD&A, news releases, investor presentations, and technical disclosure.
- Assist with securities filings and related correspondence with regulators and stock exchanges.
- Support the Vice President, Legal in Board and committee matters, including preparation of meeting materials, agendas, resolutions, and minutes.
- Assist the Vice President, Legal with maintaining corporate records, minute books, and governance documentation.
- Support ongoing governance initiatives and policy updates, including aligning corporate policies and procedures to industry best practice, and monitoring proxy advisory guidelines.
- Draft, review, and assist in negotiating a range of commercial agreements, including consulting agreements, NDAs, services agreements, and vendor contracts.
- Support corporate development and strategic transactions, including mergers and acquisitions.
- Assist the Vice President, Legal and Vice President, Human Resources with equity compensation matters, including equity plans, grant documentation, and coordination with plan administrators.
- Provide legal support to Orla’s operations and subsidiaries in Canada, the United States, Mexico, Panama, and other jurisdictions as required.
- Coordinate with external counsel on jurisdiction-specific legal matters.
- Provide general legal support to internal stakeholders, including operations, finance, sustainability, human resources, investor relations, and communications.
- Assist in coordinating external counsel on legal matters, including overseeing legal work (including litigation) and deliveries, as well as tracking scope and timelines.
- Build effective working relationships with internal stakeholders and contribute to a collaborative legal function.
- Bachelor’s degree in law (LL.B., J.D., or equivalent).
- Minimum of four years of experience in legal roles within a law firm and, preferably, in the mining or natural resources sectors.
- Proven exposure to public company, securities, corporate, and commercial law.
- Demonstrated ability to work collaboratively across multiple functions and stakeholder groups.
- Strong drafting, organizational and communications skills.
- Ability to manage multiple matters and adapt to changing priorities.
- Practical, business-oriented approach with excellent attention to detail.
- Valid license, or eligibility for licensing, with the Law Society of British Columbia or the Law Society of Ontario is required.
- Proficiency in Microsoft Office Suite.
- Bilingual (English / Spanish) an asset.
- Base Salary range: $190,000 to $205,000 per year.
