Job Description.

As General Counsel of CVE North America, reporting directly to the General Manager, you will play a critical role in supporting the region’s growth. You will partner with various departments to provide legal guidance on negotiations, contracts, and compliance matters, while ensuring all statutory and corporate documents remain in good standing. You will also identify and advise on legal and business risks that may impact the organization.

In this role, you will collaborate closely with the Group Director of Legal, keeping them informed of any significant legal risks that could affect the broader CVE Group. As a key representative of CVE, you will actively promote the company’s projects, strategy, vision, and core values


Duties and Responsibilities


People Management

Lead day-to-day activities of direct report(s) in alignment with company goals.
Conduct regular 1:1s to coach, give feedback, and support development.
Define clear roles and responsibilities; ensure job descriptions are current.
Set and track individual and team goals aligned with regional objectives.
Ensure timely, accurate delivery of work (e.g., KPI reporting).
Partner with HR on hiring, onboarding, and training.
Identify skill gaps and implement development plans.
Address performance issues promptly and constructively.


Key Responsibilities

Legal Advisor: Provide strategic legal and business counsel to the Executive and Operational teams on project matters, including structuring deals, contracts, and risk mitigation.
Project Support: Lead legal due diligence, site control, permitting, and financing for solar project development and acquisitions.
Contract Negotiation: Draft, review, and negotiate key agreements (e.g., leases, EPCs, PPAs, PILOTs, NDAs) and resolve issues post-signature.
Corporate Governance: Ensure compliance with legal entity requirements, maintain good standing, and manage intercompany agreements.
Regulatory Oversight: Monitor relevant U.S. energy regulations and engage external counsel when needed.
Budget & External Counsel: Co-manage legal fees and maintain cost efficiency for the region.


Desired Skills and Experience

Minimum

10 years of legal experience

in a law firm or corporate legal department, with at least

4 years of in-house counsel experience

required, counsel role, preferably in an industrial or energy sector.

Strong generalist with the ability to quickly identify, engage, and manage subject-matter experts or local counsel.
Excellent drafting and negotiation skills; highly proficient in MS Word, Excel, and PowerPoint.
Demonstrated leadership and teamwork abilities, with a strong sense of accountability.
Highly organized, proactive, and capable of managing multiple projects concurrently.
Deep commitment to the renewable energy sector and enthusiasm for contributing to a fast-paced, high-growth company with a start-up culture and ambitious mission.
