Commercial Finance + Commercial Transactions Associate

Warner Norcross + Judd LLP is seeking an experienced Commercial Finance and Commercial Transactions Associate to join our Commercial Finance and Business Practice Groups in our Macomb office. This role is for an attorney who has experience structuring, negotiating, and documenting complex financial and commercial agreements, and representing clients in related legal matters.

About the Opportunity

As a member of Warner’s team, you would:

- Provide legal advice to borrowers and lenders on commercial finance and lending matters, including acquisition finance, asset-based lending, and structured finance transactions

- Ensure all financial transactions comply with applicable laws, rules, and regulations, including banking and financial regulations

- Conduct thorough due diligence investigations for financial transactions, including reviewing financial documents and assessing business partnerships

- Draft and negotiate financial agreements, such as credit agreements and security agreements, and commercial agreements, such as supply and service contracts and licensing agreements

About You

- 3+ years of commercial lending and commercial finance experience

- Strong research, drafting, negotiation, and problem-solving skills

- Exceptional communication, responsiveness, and collaboration skills

- J.D. from an accredited law school and admission in good standing to at least one U.S. jurisdiction

- Licensed or willing to become licensed and in good standing to practice law in Michigan

- Ability to meet the physical requirements of the position, including prolonged periods of sitting and/or standing, and the ability to lift up to 25 pounds as needed
