Job Description:
Reporting to the Corporate Counsel of CVE North America, the Associate Corporate Counsel will primarily be responsible for drafting, negotiating, and managing project and commercial agreements in close collaboration with internal business teams. The ideal candidate will have experience in the energy or construction sectors, be a self-motivated and pragmatic attorney and team player, and be passionate about accelerating the transition to a clean energy future.
Duties and responsibilities notably include
but are not limited to:
•Review, draft, negotiate and manage a variety of construction, project development, and other commercial and strategic agreements (including engineering, procurement and construction contracts, power purchase agreements, operation & maintenance service agreements, subcontract agreements, joint venture and sale agreements).
•Build collaborative partnerships with the origination, development, construction, finance and other internal teams to analyze, communicate and mitigate legal risks, provide legal advice and support sustainable business growth.
•Manage the contract lifecycle, from negotiation through execution and ongoing compliance, ensuring that contractual relationships are well-managed.
•Stay abreast of regulatory developments in the renewable energy sector to ensure compliance with relevant regulations.
•Participate in the due diligence efforts of acquisitions and sales of solar projects, ensuring that quality and risk mitigation criteria are met.
•Address any post-signature contract interpretations, responding to questions from the business teams and to any issues during the execution phase, and/or addressing any potential litigation.
•Assist with other corporate legal matters as needed, such as non-disclosure agreements or other commercial contracts, corporate governance, and the drafting of certificates, consents, and guarantees.
•Assist with setting up processes and efficiencies for the business regarding tracking and monitoring commitments, renewal dates, and other legal obligations.
Desired Skills and experience:
•You have 0 – 2 years of similar experience acquired either at a law firm or within an industrial company.
•In this role, you are not expected to be a specialist in all the legal disciplines or in local laws; however, you are curious, resourceful, and know how to find solutions or otherwise know when to engage specialists and local counsel to get the information needed by the business.
•You have developed excellent writing aptitude, shrewd negotiation skills, a strong team spirit and have a solid sense of responsibility.
•You are available, rigorous, organized, autonomous. Your reactivity and versality allow you to address many subjects concurrently and to bring the tasks that you have been entrusted to their conclusion.
