This position will assist the Corporate Counsel by performing various tasks such as legal research, document preparation, and case management.
- Assisting with M&A research and documentation, include drafting APA’s and other agreements
- Assist with creating and reviewing all contracts and legally binding documents regarding employees, customers, vendors and acquisition candidates, including sales, purchase orders, warranty, leases, purchase agreements, NDA, and bank and loan agreements
- Assist with drafting legal documents on behalf of The Company, including but not limited to pleadings, motions and briefs
- Maintaining database and electronic filing systems of all legal documents
- Assist with creating new corporations, drafting articles of incorporation, by-laws and related documents as required
- Create and maintain corporate minutes
- Researching legal matters and gathering facts
- Organizing and maintaining files, tracking deadlines, and preparing materials for internal and external meetings
- Administrative support
- Other tasks and projects as assigned by management

This position will be using a computer, copier, fax, and printer.
This position will work in an indoor office setting, most of the day will be sitting while one the computer but occasionally time will be spent walking through the shop floor to meet with employees.
