We are seeking a highly organized, proactive, and detail-oriented Paralegal to join our team and play a pivotal role in Contracts Management, Intellectual Property Operations, and General Administration. This is a unique opportunity to contribute to a fast-paced, innovation-driven start up at the forefront of climate technology.
The ideal candidate will have experience in managing the full lifecycle of commercial agreements including managing the process from review and negotiation to execution and on-going tracking of NDAs, vendor contracts, and customer agreements.
He/she will also be responsible for in-taking communications from outside IP counsel in regards to trademarks and patent filings, ensuring the retention of company copies of such documents and where needed arranging for execution and return of completed copies to outside IP counsel.
Finally, he/she will support internal stakeholders across regions and external legal counsel by maintaining company copies of key legal documents, and as needed gathering legal documents, policies, and records in support of periodic requests from customers and investors.
- Work with outside counsel to maintain/update (or as needed, draft) template commercial agreements and a pre-agreed set of terms acceptable for negotiation
- Review, edit, and generally support the relevant senior executive in the negotiation of a wide range of commercial agreements including NDAs, supplier agreements, service contracts, joint development agreements, license and sublicense agreements, memoranda of understanding (MOUs), and LOIs
- Assist in maintaining a
Contract Lifecycle Management (CLM) system
including contract templates, approval workflows, and managing our contract database.
- Coordinate and facilitate internal contract review processes, ensuring alignment with business teams
- Engage outside counsel when needed to review contract items not already considered in the templates and the pre-agreed sets of terms
- Maintain a centralized contracts repository with accurate version control, executed copies, and relevant obligations flagged and monitored
- Monitor key contract terms, renewal dates, and termination clauses; proactively alert stakeholders and facilitate renegotiation or renewals as necessary
- Work with outside counsel to establish suitable internal policies to ensure compliance with export controls, anti-corruption laws, ESG standards, and risk management frameworks, and then own the implementation of those policies in contracts
- Act as the point of contact with external IP counsel for trademark and patent related communications
- Serve as the in-house interface to our IP counsel’s docketing system
- Manage the collection of signatures for Powers of Attorney (POAs) and Invention Assignments, and ensure the return of completed documents to our Intellectual Property counsel
- Interface with outside counsel on all the above as needed
- Assist in organizing legal documentation and policies, corporate records, and regulatory filings
- Support collection of legal items for investors and customer due diligence requests
- Support CEO in reviewing and approving outside counsel invoices
- Interface with our outside counsel as needed on the above
- Bachelor’s degree required;
Paralegal Certificate
or equivalent legal education strongly preferred
- Minimum of
*8+years of paralegal experience
, including direct experience with contract administration in a corporate legal environment
- Experience in the
energy
,
clean tech
,
chemical
, or
technology sectors
preferred, especially with international exposure
- Knowledge of international contract law and familiarity with IP docketing a plus
- Experience using legal tech platforms such as
CLM systems

IP docketing software
, and document management systems (e.g., ContractWorks, DocuSign, Anaqua, or similar tools)
- Ability to understand and communicate legal terms and implications to non-legal stakeholders in a clear, concise manner
- Strong organizational, project management, and multitasking abilities; meticulous attention to detail and confidentiality
- Excellent written and verbal communication skills; ability to work across cultures and time zones
