The
Corporate Paralegalis responsible for assisting the attorney, and Legal Department in handling any legal matters, maintenance of corporate records, board minutes, and general administrative support for the legal department. Including but not limited to corporate support affiliates, as designated by the company attorney. These shared services include without limitations onshore, O&G, corporate, labor, immigration, contracts, and transactional support.
The
Corporate Paralegalwill also be responsible for accurately organizing and keeping Legal Department files, leading on record management responsibilities for the company, and working on various team projects, as well as on assisting and supporting the legal team in a variety of other department matters, supporting multiple in-house stakeholders and GIS in addition to providing general corporate administrative assistance to the corporate attorney as needed.
- Set up, manage and close out projects assigned by GIS attorney regarding services of legal department operation and corporate divisions
- Schedule and attend risk committee and various corporate meetings, taking minutes, drafting memos and other correspondence
- Preliminary drafting of contract documents
- Help apply necessary changes to contract documents
- Help apply changes to corporate policies
- Draft and review organizational documents
- Maintaining and renewing the business licenses
- Respond to document requests during litigation
- Assisting the company’s lawyer through all stages of legal services to corporate clients
- Assist with a wide variety of requests to support the corporate legal department, including contract review and providing support on compliance-related initiative, corporate governance, debt and financing or M&A transactions or other corporate transaction closings.
- Assist with managing contract intake and reviewing processes
- Assist in creating and/or managing agreements, data, documents, and information
- Assist with review of legal or business-related documents, including contracts, to issue-spot potential legal concerns and provide advice
- Assist in the preparation of the subsidiary board and shareholder resolutions, coordinating signatures and maintaining corporate minute book filing, records, and database.
- Prepare and file state filings including corporate formations, qualifications, withdrawals and consolidations, annual reports, apostilles and legalizations.
- Assist with the preparation of governing documents including bylaws, limited liability company agreements and partnership agreements.
- Liaise with outside counsel as needed.
- Draft internal memos, summaries, reports, and other correspondence.
- Prepare spreadsheets, organizational charts, timelines, presentations, project management tracking.
- Develop and maintain strong working relationships with various departments with which our team interfaces to obtain and/ or provide information.
- Experience: Minimum of 5 years of experience as a certified Paralegal or 5 years’ experience working with contracts.
- Education: Certified Paralegal (preferred)
- Technical Skills: Proficiency in Adobe, Word and Teams (preferred)
