Job Purpose: e2Companies, a provider of integrated solutions for on-site power generation, distribution, and energy cost-optimization through our Virtual Utility®, based in Bonita Springs, FL, is seeking an experienced General Counsel to expand our team. This role will primarily manage contractual relationships with partners, focusing on drafting, reviewing, and negotiating energy contracts related to microgrid and grid reliability solutions to support the growing data center industry.
The General Counsel will work as part of our Senior Management team to develop, negotiate, and implement energy transactions law, supporting e2Companies’ mission to provide innovative distributed energy systems and sustainable energy solutions for data centers and other clients.
This position offers exposure to commercial and corporate transactions, working independently and with outside counsel as part of the executive team, with a focus on enabling energy resilience for e2Companies’ global operations.
Duties and Responsibilities:
•Review, draft, and negotiate a wide variety of sustainable energy contracts, with a focus on agreements supporting microgrid solutions and data center power reliability, including but not limited to:
•Power Purchase Agreements (PPA)
•Energy Service Agreements (ESA)
•Bond Issuance (Private Placement Memorandum)
•OEM Warranty/Regulatory Agreements
•Non-Disclosure Agreements (NDA)
•Due Diligence, Corporate Governance, and Tax Structures (US, EU, Canada)
•Provide support to senior staff in complex transactions, such as Mergers & Acquisitions (M&A), SEC Securities, and Bonds, leveraging public company experience.
•Work closely with legal and business teams, collaborating with various departments to achieve strategic objectives.
•Manage intellectual property in energy, including trademarks, copyrights, and patents, in collaboration with outside counsel.
•Conduct legal and factual research, data analysis, and reporting as requested.
•Ensure regulatory compliance with market partners in the energy and microgrid sectors.
•Manage agreements, amendments, legal and compliance due diligence, and related tasks.
•Identify and assess legal and business risks.
•Collaborate with team members and communicate relevant information to business leaders and executives.
•Uphold the security and confidentiality of documents, data, and potential business transactions.
•Interpret and apply policies, procedures, and processes.
•Potential for international travel to support growing global operations.
•Perform other relevant duties as requested by outside counsel and executives.
Education and Experience:
•Juris Doctorate degree from an ABA-accredited law school, with an active license to practice law in Florida (required).
•Minimum 5 years’ experience as a practicing attorney (10 years preferred) in energy transactions law or corporate law, with knowledge of the utility industry.
•Excellent legal, analytical, contract review, and negotiation skills.
•Exceptional communication, project management, and organizational skills, with the ability to develop trust and confidence from colleagues.
•Ability to develop and maintain positive, professional relationships with internal and external business partners.
•Ability to identify and articulate e2Companies’ and management’s needs and work through complex legal and business issues to deliver effective solutions.
•Adaptable to a fast-paced, constantly changing environment.
•Ability to prioritize tasks and projects and effectively manage time independently.
•Knowledge of the energy or utility industry required; experience with microgrid legal counsel or grid reliability solutions is a plus.
•Bilingual (Spanish) is a plus.
•Proficient in Microsoft Office tools (Outlook, Word, Excel, Teams).
•Ability to manage workload with minimal supervision and critical attention to detail.
