Iron Oak Energy Solutions LLC, a leading provider of proppant to the oil and gas industry with a differentiated footprint of low-cost, logistically advantaged mining and terminal assets serving all major U.S. shale basins, is seeking a Financial and SEC Reporting Manager to join our team. The position will be based out of the company’s The Woodlands, Texas headquarters.
The Financial and SEC Reporting Manager will be a key member of the accounting team, reporting directly to the VP of Accounting / Corporate Controller. This individual will be responsible for preparing monthly, quarterly, and annual financial reporting packages as if the company were already public, ensuring compliance with U.S. GAAP, and alignment with SEC standards. While Iron Oak is not yet required to file with the SEC, the Manager will help establish the processes, controls, and rigor needed for a successful IPO and subsequent life as a public company and will guide the financial statement presentation of complex accounting issues. The ideal candidate will have hands-on experience with SEC reporting (10-Q, 10-K, S-1, etc.) from a prior role, enabling them to anticipate requirements and guide the team through the transition. Experience in public accounting is preferred but not required.

- Support the company’s IPO readiness initiatives, including auditor coordination, due diligence requests, and pro forma financials.
- Assist in implementing SOX readiness, including documentation and testing of Internal Controls over Financial Reporting (ICFR).
- Help design and standardize reporting policies, procedures, and infrastructure aligned with public-company expectations.
- Contribute financial content to investor-facing materials such as roadshow decks and future earnings call support.
- Prepare monthly, quarterly, and annual reporting packages and MD&A-style analysis in line with SEC-quality standards.
- Ensure financials are prepared in accordance with U.S. GAAP and meet the disclosure rigor of public-company reporting.
- Partner with external auditors during quarterly reviews and annual audits to ensure IPO readiness.
- Lead the company’s SEC reporting and compliance efforts, ensuring timely, accurate preparation and filing of all required disclosures (including quarterly 10-Qs, annual 10-K, 8-Ks, S-1/S-4 for the IPO, proxy statements, etc.).
- Ensure that all financial statements, footnote disclosures, and MD&A are prepared in accordance with U.S. GAAP and SEC regulations and review all filings for completeness and accuracy.
- Coordinate internal review processes, sign-offs, and support the external audit for SEC reporting purposes

- Support the monthly and quarterly close process, including consolidation, reconciliations, and variance analysis.
- Work closely with the VP of Accounting / Corporate Controller to ensure accuracy, completeness, and alignment with IPO requirements.
- Research and resolve complex accounting matters (e.g., revenue recognition, leases, stock compensation, M&A transactions).
- Stay up to date with changes in financial reporting standards, SEC regulations and industry’s best practices, and advise senior management on necessary compliance or disclosure changes.
- Ensure that Iron Oak Energy’s financial policies and procedures are updated and compliant with public company requirements.
- Uphold the highest ethical standards and accuracy in all financial reporting and ensure non-GAAP metrics and disclosures are used appropriately in external communications.
- May contribute to the preparation of materials for Board, Shareholder, or Audit Committee meetings as needed.
- Collaborate with FP&A, Operations, and Investor Relations to ensure reporting reflects key business drivers.
- Provide technical accounting input on contracts, strategic initiatives, and corporate development activities.
- Bachelor’s degree in Accounting, Finance, or related field; CPA strongly preferred.
- 5–8 years of progressive accounting/finance experience, with direct exposure to SEC reporting (10-Q, 10-K, S-1, etc.).
- Strong knowledge of U.S. GAAP and public company reporting requirements.
- Experience supporting external audits and applying technical accounting standards.
- Proficiency in Microsoft Excel and financial reporting tools (Workiva, Onestream, Oracle, SAP, or similar).
- Strong organizational skills, attention to detail, and ability to manage multiple priorities.
- Prior involvement in IPO readiness or a public-company transition.
- Big 4 or national public accounting firm background strongly preferred.
- Industry experience in energy, oilfield services, or industrials is desirable.
- Familiarity with SOX compliance and internal controls frameworks.
