Summary
Reporting to the Director of Contracts and Compliance, this role is primarily responsible for the review and negotiation of all proposed commercial terms pertaining to TransCanada Turbines business activities, along with support in the areas around policy development, drafting, compliance and training. The individual in this role may also be required to work closely with external counsel on various legal matters as they arise, and to support tasks as assigned by the Vice President, Corporate Services.
Duties
The duties for this role will include, but will not be limited to, the following:
•Conduct review of all proposed commercial and legal terms and where necessary, support and execute negotiations with relevant parties to ensure acceptable terms are agreed.
•Ensure all bids and contracts are compliant with TCT’s risk profile and contracting guidelines.
•Under the guidance of the Director Contracts and Compliance, assist with preparing and maintaining corporate reporting documents to TCT standards.
•Assist in the coordination, review, and preparation of TCT commercial proposals and bid/tender packages.
•Maintain master template agreements and issue contract amendments as required.
•Administer existing contracts and fleet agreements.
•Draft, review, and negotiate commercial agreements required, such as service agreements, license agreements and supplier contracts.
•Develop and implement checklists, protocols and template agreements for various commercial work required for TCT to carry out relevant business requirements.
•Develop, implement and review TCT's processes, procedures and polices to ensure compliance with TCT standards, while ensuring mitigation of risks.
•Take ownership of Health, Safety and Environmental (“HSE”) issues and support the corporate HSE program and maintain a positive attitude towards the health and safety of employees and work environment.
•Inform and advise corporate and business unit leadership groups on developments in corporate and commercial law and the potential impacts of legislative changes and/or court decisions.
•Provide timely, proactive, and solution-oriented advice to all business units.
•Ensure external legal support is appropriately retained and managed by identifying necessary budget requirements for the provision of external legal services and appropriately managing external legal expenses.
•Carry out or direct legal research as required.
•Ensure all Commercial operations and practices are carried out in accordance with Commercial Department requirements and company policies and procedures.
•Carry out any additional duties as assigned by the Director Contracts and Compliance.
Core Competencies
The successful candidate shall have or demonstrate the following qualifications:
•A background in business management, contract administration, legal and/or a closely related field is required. A combination of relevant work experience may also be considered.
•Ability to analyze and understand contract conditions and to apply and comply with statutory legislation and regulations.
•Have superior contract drafting, negotiating, and reviewing skills.
•Have experience independently managing corporate/commercial legal files.
•Experience with international contract and contract negotiation is strongly preferred.
•Be detail-oriented and possess strong organizational and time management skills.
•Must be able to work independently and productively.
•Able to meet critical deadlines in a fast-paced environment.
•Possess strong communication skills both written and verbal, along with demonstrated negotiation and analytical skills.
•Bilingual/Multilingual skills are an asset.
•Strong technical writing skills are required.
•Must be willing to support a significant number of administrative duties.
•Proficiency in MS Word, Excel, Power Point and MS Outlook 365.

The minimum training and/or educational requirement for this role is a background in business management, legal or a closely related field; or a combination of education and experience that allows the individual to adequately perform the role as determined by the Director Contracts and Compliance.
