This Assistant General Counsel position is for an experienced attorney who will be responsible on a day-to-day basis for providing legal advice to (1) Kinder Morgan’s CO2 business, which is engaged in CO2 production, transportation and sale and oil and gas production in West Texas utilizing enhanced oil recovery, and (2) Kinder Morgan’s Energy Transition Ventures (ETV) business, including its existing renewable natural gas (RNG) business as well as its efforts around identifying, analyzing and pursuing commercial opportunities emerging from decarbonization efforts such as carbon capture and sequestration projects.
The core responsibilities of this position will include drafting, reviewing, negotiating and providing legal advice regarding a wide variety of transactional, commercial and other agreements including (i) asset/equity purchase and sale agreements, including regarding oil and gas interests; (ii) confidentiality agreements, memoranda of understanding and term sheets; (iii) joint venture agreements (including supporting the corporate secretary function with respect to joint ventures) and unit operating agreements; (iv) precedent agreements, construction contracts and other agreements relating to project development; (v) gas processing agreements and interconnection agreements; (vi) gas, CO2 and crude oil sales agreements; and (vii) real estate agreements, including leases and easements.
This is a position in Kinder Morgan’s headquarters office in Houston, Texas and is eligible to observe a hybrid work model.
The candidate must be a versatile lawyer with significant experience handling complex legal matters and business transactions for clients in the energy industry. The position will require excellent written and oral communication skills. The candidate must have experience and comfort working with clients at all levels of a company, including management. We require a team player who is flexible and willing to do what it takes to support effective operation of Kinder Morgan’s businesses. The candidate must be nimble, responsive, and comfortable working in a fast-paced environment across a wide range of matters, including matters that call for flexibility and developing new skills, and be able to balance competing work obligations for multiple clients within the organization.
- Possess a JD from an accredited law school and be licensed to practice law.
- 7 or more years of legal experience with a reputable law firm, in-house with an energy company, or a combination of the two.
- Substantial experience with development projects, commercial transactions, M&A transactions and day-to-day operational matters in the midstream energy and oil and gas industries.
