Position Description:

The Transaction Counsel will support a dynamic and growing business in developing, acquiring, constructing, owning and operating distributed solar, battery storage and other renewable energy projects throughout the United States. The position works closely with the General Counsel and senior management.

Primary Job Responsibilities:

- Attend to all aspects and issues related to project development and financing.

- Work closely with each functional group within the Company to advance individual projects and overall company goals.

- Draft and negotiate financing documents, purchase and sale agreements, development contracts, construction contracts, power purchase agreements, leases, supply agreements, service agreements, operation and maintenance agreements, non-disclosure agreements and a variety of other commercial contracts and corporate documents.

- Oversee the legal aspects of financial closings.

- Perform diligence and provide diligence guidance regarding project acquisition and financings.

- Engage and manage outside counsel as needed.
