About The Position
We are seeking a highly motivated and competent Legal Counsel to provide legal support for commercial and operational teams. The ideal candidate will be skilled in handling contract negotiations, assessing legal risks, and ensuring compliance with industry regulations. This role offers an opportunity to work within a highly entrepreneurial business where you interact with our Executive Team and business leaders on a wide range of complex international transactions and legal matters.
Primary Duties And Responsibilities
- Draft, review, negotiate, analyze, and advise internal clients on various agreements, including Master Service Agreements, sales contracts, supplier agreements, nondisclosure agreements, and other agreements associated with conducting business in the oilfield services industry.
- Identify and mitigate legal risks associated with global operations, particularly in areas related to bids/tenders, contract performance, liability, and compliance.
- Maintain contract management processes, support internal clients in their adherence to policies governing the company’s contractual relationships, and periodically review company policies, processes and practices with respect to contract management to identify and implement improvements.
- Continuously maintain knowledge with developments in legislation that relate to our operations and provide client updates and training, proposing policy changes as required.
- Conduct legal training for internal teams to raise awareness of contractual obligations, compliance obligations, company policies, and legal risks.
- Conduct compliance investigations where complaints are made through the compliance incident management system (EthicsPoint).
- Collaborate with internal customers including finance, sales, supply chain, and HR to ensure legal compliance and mitigate risks.
- Provide specialized legal advice, analysis, counsel, and transactional support that is both commercially oriented and risk assessed on contract interpretation issues, HR and Compliance matters.
- Manage claims and litigation with the support of outside counsel.
- Bachelor’s degree and Doctor of Jurisprudence (JD) or foreign equivalent.
- Licensed to practice law in the state of Texas or any other US state.
- At least 3-5 years experience in a law firm or as in-house counsel.
- Must be a detail oriented, self-starter and able to work with little supervision while maintaining goals/tasks.
- Must have excellent written and verbal communication skills, to include public speaking, and be able to effectively communicate with staff, management, customers and vendors.
- Must possess sound reasoning skills and have the ability to follow directions.
- Proficiency in one or more foreign languages.
- Experience providing legal counsel to companies in the oil and gas industry.
- Experience providing legal counsel on global privacy and compliance issues.
- Experience providing legal counsel on labor and employment matters.
- Demonstrated experience with Contract Lifecycle Management (CLM) platforms and a forward-thinking approach to leveraging technology in contract review and negotiation.
- Ability to tailor advice that is well-calibrated to the most junior and senior levels of the organization.
- Ability to embrace innovation and leverage digital tools to streamline processes, enhance accuracy and drive compliance.
- Strong interpersonal skills and demonstrated teamwork skills.
- Ability to think strategically with clear accountability, making decisions with speed and accuracy based on the best available information, and communicating priorities clearly and concisely.
- Have external focus: Understanding areas of law, regulations, risks, marketplace dynamics, industry trends, and the compliance landscape.
- Ability to manage and adhere to deadlines, with strong attention to detail, higher level thinking skills, strong professional judgment and interpersonal skills, and a positive attitude with enthusiasm.
