BayWa r.e. Americas is seeking a Director, Structured Finance,
to join our Structured Finance team.
The Director, Structured Finance is responsible for overseeing and actively participating in the analysis, structuring, and execution of complex financial transactions.
The Director is expected to assist the Senior Vice President and senior management in the planning and coordinating of assignments and work to identify and analyze the impact of relevant investment, environmental and/or business issues facing BayWa r.e. on the company’s, financial structure, profitability, and competitive position.
Competencies include advanced abilities to comprehend, analyze, frame and resolve complex analytical issues and distill them into simple to understand analysis for management decision making; communicate the key investment benefits and risks to senior management; and provide expertise and support to other BayWa r.e. departments requiring financial consulting services or financial training. The Director, Structured Finance will work closely with asset buyers, financing parties, internal teams, and management to provide innovative financial solutions, manage risk, and achieve financial objectives.
- Lead project finance transactional activities on assigned projects, including understanding and negotiating tax equity agreements, end-to-end management of financing transactions, the financial and credit aspects of PPAs, term sheets, and other financial documents.
- Lead M&A activities, primarily late-stage sell-side processes
- Having a key role on the Structured Finance team in raising debt, equity, and tax equity for renewable projects.
- Manage models for tax equity, debt financing, merchant curve analysis (sitting second chair to ensure accuracy of analysis).
- Collaborate with team members on financial models including review of capital expenditures, operating costs, energy price curves for wind and solar production, and battery dispatch models.
- Provide guidance on financial models, analysis of financial impacts, and help manage relationships with third-party financiers.
- Coordinate between Structured Finance and other project teams (Development, Origination Commercial, EPC, Legal, & FP&A) to ensure good communication and transparency across the Company.
- Conducting and supervising financial modeling and pricing analysis to support investment decisions, bilateral proposals, competitive bids, and M&A opportunities.
- Overseeing marketing material preparation, engaging with investors, and managing diligence processes.
- Working with internal and external legal staff in drafting and negotiating term sheets and definitive M&A and financing documents.
- Presenting to investment committee and advising internal stakeholders in understanding appropriate risk allocation, bankability of terms and conditions of various project contracts, and providing general structuring advice and optimization of returns.
- Leading process initiatives to improve transaction execution.
- Develop junior staff and educate broader teams on structuring and financial returns.
- 6-8 years of relevant work experience.
- Background in project finance, investment banking, leveraged finance or private equity required.
- Track record of experience working on M&A and financing transactions.
- Excellent financial modeling skills.
- Exceptional analytical capabilities and extreme attention to detail.
- Excellent verbal, written communication, and presentation skills.
- Bachelor’s degree in economics, finance, or related field; MBA or CFA desirable.

- Total compensation package dependent upon a number of factors, including candidate’s professional experience, candidate’s skills, position’s seniority level, department’s hiring budget, and position’s location.
- The salary range for this role is $200,000 - $240,000 per year
