The Corporate Counsel is responsible for providing primarily transactional legal support for multiple company business units in a cross-functional capacity to minimize risk, ensure best practices, and to support day-to-day operations.
Essential Responsibilities
- Review, negotiate and draft a wide variety of commercial agreements, including master service agreements, master purchase agreements, and non-disclosure agreements.
- Develop agreement templates to be used by business units such as work orders, sand and chemical supply agreements, and power generation (sell side).
- Perform legal research as needed concerning various state and federal legal topics.
- Provide second level support for more junior staff and coach internal legal support staff.
- Interface with company-retained outside counsel as well as counsel representing interests in opposition to the company.
- Assist, as needed, with internal management of litigation docket and related discovery matters; help respond to third party subpoenas and document requests.
- Recommend, review, and revise company policies.
- Escalate commercial issues to appropriate senior management as needed.
- Assist with due diligence activities.
- Work closely with business units to issue spot and advise, counsel, and influence stakeholders to foster compliance, minimize risk, and facilitate growth.
- Stay abreast of relevant changes to areas of law that impact the company.
- Other duties as assigned by the General or Deputy General Counsel.
- Juris Doctor (J.D.) degree from an ABA accredited law school.
- Licensed to practice law in active good standing in any state in the U.S.; Texas license preferred.
- Minimum of 2 to 3 years of related experience as a practicing attorney, ideally having worked in a corporate setting in the oil and gas industry.
- Strong PC/technical skills (Microsoft Office Suite) required.
- Experience with drafting and negotiating complex agreements.
- Industry (E&P/Upstream/O&G) experience.
- Litigation experience preferred but not required.
- Operates in a professional and/or business casual office environment.
- Routinely uses standard office equipment such as laptops, photocopiers/scanners, and smartphones.
- Evening and weekend work may be required as job duties demand.
- Ability to fluently read, write, understand and communicate in English.
- Ability to lift up to 15 pounds
