Alamos is seeking a Corporate & Projects Counsel to join its in-house legal team. Reporting to the Associate General Counsel, you will provide assistance with a wide variety of legal work for the company’s Canadian and international operations. A major focus for this role will include drafting, reviewing and negotiating major contracts for the Company’s mine sites and development projects. As needed, the person in this role may also provide transactional support, assist with corporate compliance and assist with delivering strategic advice on day to day legal functions of the Company. The successful candidate will be excited to join a busy generalist in-house practice, have a keen sense of initiative, be detail and team-oriented, efficient and organized with the requisite experience for the role. The position is based in the company’s Toronto office, with some opportunity to work remotely one day per week.
- commercial contract drafting, review and negotiation including: construction contracts, large-scale supply agreements and professional services agreements (e.g., engineering and construction management agreements, consulting agreements, etc.), non-disclosure agreements;
- advise procurement and projects teams on the legal effect of various contractual provisions;
- review third party agreements as required;
- assist with corporate transaction matters including assistance with drafting transaction documents and due diligence;
- assist with corporate compliance matters;
- assist in providing day to day legal advice to the company and its senior executive team on a broad range of issues, as required; and
- other duties, as assigned.
- - Experience drafting and negotiating a broad range of commercial agreements, including, specifically, experience with construction agreements, supply agreements and professional services agreements
- Experience advising clients or commercial teams on the legal effect of various contractual provisions
- General experience in and familiarity with corporate/commercial law
- Ability to work independently as well as in a team setting
- Ability to lead multiple contract reviews and negotiations simultaneously with quick turnaround times
