Corporate Counsel

POSITION SUMMARY:

The candidate will join the Legal Team and will interact with and support various groups across the Company, with a primary focus on legal advice and support for all commercial aspects of Targa’s logistics and transportation/NGL midstream business segment, including contracts for the purchase and sale, exchange, transportation, storage, terminalling, fractionation and treating, and distribution of natural gas liquids. This position will also partner with other attorneys across the Targa Team on various transactional and asset related matters, and will manage other projects within the Legal Team.

- Negotiate and draft agreements for the purchase, sale, and exchange of natural gas liquids and/or other petroleum products

- Negotiate and draft various midstream agreements related to natural gas liquids and/or other petroleum products, including agreements for the gathering, transportation (by pipeline, rail, motor carrier, and/or marine vessel), storage, terminalling, fractionation and/or processing of such products, as well as pipeline interconnect agreements, access agreements, and real estate agreements

- Counsel business clients regarding business arrangements, commercial agreements, and joint ventures

- Assist with and provide legal advice related to mergers, acquisitions and divestitures, including due diligence activities

- Work as a team with business clients and other attorneys to respond to commercial demands and achieve business objectives

MINIMUM ESSENTIAL QUALIFICATIONS:

- Juris Doctorate, licensed to practice law in Texas (or can become immediately eligible to be admitted to the State Bar of Texas)

- 3 – 7 years of legal experience, with substantial law firm experience preferred

- Strong academic background

- Excellent verbal and written communication skills, legal analysis, drafting, and negotiation

- Ability to work in a fast-paced, dynamic legal environment and respond quickly to commercial demands

- Commercial, pragmatic, and flexible approach, and ability to quickly grasp complex commercial arrangements

- Willingness to provide or experience providing legal advice to senior level business leaders

- Ability to develop and sustain relationships with clients at all levels

- Proven track record as a team player

- Team attitude that no job is too big or too small

PREFERRED QUALIFICATIONS:

- Negotiating and drafting agreements for the purchase, sale, and exchange of natural gas liquids, crude oil, and/or other petroleum products

- Negotiating and drafting various midstream agreements related to natural gas liquids, and/or other petroleum products, including agreements for the gathering, transportation (by pipeline, rail, motor carrier, and/or marine vessel), storage, terminalling, fractionation and/or processing of such products, as well as pipeline interconnect agreements, access agreements, and real estate agreements

- Mergers, acquisitions and divestitures, including due diligence activities

- Basic understanding of Federal and Texas state regulation of common carrier natural gas liquids or petroleum liquid pipelines

- Negotiating, drafting, and/or administering joint venture agreements
