Position Title: CORPORATE COUNSEL Location: HOUSTON, TX FLSA Class: EXEMPT Responsible to: CHIEF FINANCIAL OFFICER
Position Summary: The Corporate Counsel is responsible for all legal aspects of the organization’s operations, ensuring compliance with applicable laws and regulations while providing strategic legal guidance to senior leadership. This role partners with others in the legal department, manages contracts, litigation, intellectual property, and regulatory matters, and proactively mitigates legal risks to protect the company’s interests.
- Legal Advisor - Provide legal counsel to executives, the board of directors, and senior management on a broad range of issues, including contracts, litigation, regulatory compliance, corporate governance, intellectual property, and employment law.
- Risk Management - Identify legal risks related to company operations and business decisions, and develop effective strategies to mitigate them.
- Contract Management - Draft, review, and negotiate contracts and agreements, including vendor, customer, employment, and merger/acquisition agreements.
- Litigation Management - Direct and oversee the company’s involvement in legal disputes, including strategy, supervision of outside counsel, and resolution of cases.
- Labor & Employment - Manage employment law issues, including discrimination claims, wage/hour compliance, and workplace investigations.
- Regulatory Affairs - Represent the company with regulators, agencies, and industry associations to ensure compliance and address regulatory matters.
- Mergers & Acquisitions - Lead due diligence for corporate transactions and advise on deal structures and negotiations.
- Training & Ethics - Develop and deliver training programs to promote legal awareness, compliance, and ethical business practices.
- Budget Management - Manage the legal department’s budget, optimizing use of resources and outside counsel.
- Corporate Records - Oversee the maintenance of accurate and accessible legal and corporate records.
- Dispute Resolution - Recommend and facilitate alternative dispute resolution methods, such as arbitration and mediation.
- Board & Shareholder Relations - Support communication between the board, shareholders, and executive team on legal matters.
- Intellectual Property
- Safeguard the company’s intellectual property portfolio, including trademarks, patents, copyrights, and trade secrets.
- Enforce IP rights and defend against infringement claims.
- Compliance
- Ensure organizational compliance with all relevant laws and regulations.
- Monitor legislative and regulatory changes and adjust compliance strategies accordingly.
- Corporate Governance
- Advise the board on governance matters, ethics, and corporate policies.
- Ensure compliance with governance regulations and best practices.
- Juris Doctor (JD) degree and active membership in the bar association of Texas.
- Proven experience as a Corporate Counsel or in a senior legal leadership role.
- Strong knowledge of corporate law, regulatory compliance, and legal best practices.
- Excellent communication and negotiation skills.
- Ability to make sound legal decisions and provide strategic guidance.
- Strong leadership and management abilities.
- High ethical standards and integrity.
