Primary purpose:
In-house opportunity for a corporate transactional attorney, with a primary focus on general corporate activities as well as mergers, acquisitions and joint ventures for energy infrastructure assets, including existing natural gas, crude oil and carbon dioxide pipelines, as well as decarbonization projects.
Essential duties and responsibilities:
•Support all general corporate activities, including governance, compliance, capital markets, credit facilities and financial reporting.
•Lead strategic merger and acquisition activities, joint venture formations and governance, and new business development.
•Provide legal advice, negotiations and contract drafting expertise.
•Advise management on contract development and negotiated terms.
•Interpret contract requirements and fulfillment of contractual agreements, including agreements governing existing joint ventures of the Company.
•Confer with management to assess legal issues and the framework for commercial negotiations.
•Prepare, review and interpret legal documents.
•Conduct legal research and analysis.
•Monitor for changes in law.
•Manage external legal counsel.
•Must be able to work independently and in a team environment.
•May be asked to support and contribute to a wide variety of other legal matters on an as-needed basis.
•Willingness to travel as needed, including to the Company’s Lakewood, CO (Denver metro) and Leawood, KS (Kansas City metro) offices.
•Collaborate with a wide variety of people with tact, courtesy and professionalism.
•Speak clearly, both in person and by telephone, using a high level of verbal skills and listen carefully.
•Maintain a regular, dependable attendance and a consistently high level of performance.

Minimum requirements:
Education:
•Four-year Undergraduate Degree and Juris Doctor from accredited law school required.
•Top 25% of law school class strongly preferred.
Experience/Specific Knowledge:
•15 or more years of extensive legal experience in corporate transactional matters.
•Experience forming and/or supporting joint venture entities. Experience with energy joint venture entities is preferred, but not required.
•Advanced proficiency level in MS Office applications that may include but are not limited to Word, PowerPoint and Outlook.
Certifications, Licenses & Registrations:
•Must be licensed to practice law in the U.S. and eligible to waive into the Texas Bar.
•Must possess and maintain a valid driver’s license and a driving record satisfactory to the company and its insurers (for travel).

•The successful candidate will be required to clear a drug screen and a complete background check, including credit report for certain positions, after an offer has been extended and prior to being employed.
