The Associate Counsel will provide direct support to the Legal & Compliance Department and serve as a key partner to Operations, Shared Services and Senior Leadership. The role includes responsibility for business registrations, licenses, and regulatory filings, as well as supporting HR, labor relations, compensation and benefits, real estate and lease matters, and compliance programs. The successful candidate will also help establish a company-wide contract management system and manage records retention. This hybrid role, based in Charleston, WV, is an excellent opportunity for an early-career attorney to gain broad in-house experience in corporate, compliance, and operational matters.
- Manage business entity registrations, annual reports, licenses, and filings across multiple jurisdictions.
- Support compliance with federal, state, and local regulations, including DOT, FMCSA, and EEOC.
- Monitor regulatory developments and advise management on potential impacts.
- Provide legal support to HR on employment law, labor relations, compensation, and benefits compliance.
- Assist with negotiation, drafting, and administration of labor relations agreements.
- Draft, review, and revise contracts, agreements, and compliance documents.
- Develop, implement, and oversee a company-wide contract management system.
- Manage corporate records retention and document control policies.
- Utilize DocuSign and document management platforms for contract execution and tracking.
- Support Operations leadership with legal review of service agreements, vendor contracts, and operational compliance.
- Review and provide guidance on real estate transactions, property leases, and related agreements.
- Assist with corporate governance, board resolutions, and compliance reporting.
- Support development and delivery of compliance training, policies, and procedures.
- Coordinate with internal stakeholders and outside counsel on litigation, regulatory, and corporate matters.
- Strong working knowledge of corporate, regulatory, and employment law.
- Ability to interpret, draft, and negotiate a wide variety of contracts and legal documents.
- Proficiency in using DocuSign, contract management tools, and document management systems.
- Competence with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and legal research platforms.
- Project management skills with the ability to set up new systems, track deadlines, and manage priorities.
- Leadership presence with the ability to provide guidance to cross-functional teams and influence decision-making.
- Strong interpersonal skills to build trust and credibility across Operations, Shared Assets, and Senior Leadership.
- Critical thinking and problem-solving skills, with a proactive approach to risk management and compliance.
- Ability to communicate complex legal and compliance issues in clear, business-focused terms.
Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in West Virginia (or ability to become licensed within a reasonable time).
- 1–3 years of legal experience, preferably in corporate, employment, or compliance-related practice.
- Familiarity with federal regulatory frameworks, including DOT, FMCSA, and EEOC.
- Knowledge of compensation, benefits, HR compliance, and labor relations.
- Understanding of real estate and lease agreements.
- Prior in-house experience or experience in corporate/regulatory practice.
- Exposure to utility, construction, transportation, or energy sectors.
- Background supporting HR, operations, and compliance functions.
