Ovintiv Inc. (“Ovintiv”) is seeking an Associate General Counsel, Corporate Legal & Securities to join our Legal team. Reporting to the Vice-President & Deputy General Counsel, the successful candidate will be responsible for strategic leadership of a team working on the following matters: corporate securities; corporate finance; corporate governance; mergers and acquisitions; litigation; and compliance.
Ovintiv is a Delaware corporation listed on the New York Stock Exchange and Toronto Stock Exchange with assets and operations in the U.S. and Canada.
This position can be based in Denver, Colorado; The Woodlands, Texas; or Calgary, Alberta.
- Oversee, while working with external counsel as appropriate, U.S. and Canadian securities law matters, including SEC reporting.
- Provide strategic leadership and mentorship to a team of Attorneys, Paralegals, Legal Analysts and Compliance Professionals on various matters.
- Assist in drafting and reviewing public disclosures and corporate communications including earnings releases and news releases.
- Provide legal advice and support on executive compensation, equity plans and related matters.
- Support mergers and acquisitions, and other strategic transactions.
- Lead and oversee corporate secretarial matters such as the company’s annual general meeting and board meeting preparations.
- Provide strategic direction and counsel on litigation issues as well as oversee the litigation defense process including assessing risks, developing strategy, partnering with outside counsel and reviewing draft pleadings.
- Provide strategic direction and advice, and lead investigations on ethical, legal and regulatory compliance matters in a wide range of areas.
- Provide general legal advice and counsel regarding accounting, audit, finance, government relations, HR, investment relations, IT, risk management, tax and treasury matters.
- J.D. and current bar admission in good standing (Colorado, Texas, or Alberta preferred).
- 15 or more years of corporate law and transactional experience including related experience at a law firm or as in-house counsel.
- Experience working with corporate boards; energy industry is preferred.
- Preference for a candidate with work experience in both the U.S. and Canada.
- Experience leading and mentoring attorneys/legal counsel and paralegal staff.
- Ability to work independently and build strong internal networks across the company and externally within the legal community.
