We are searching for a Senior Director, Legal Commercial who will be responsible for supporting Fuels Marketing in the growth and development of the company’s retail network through multi-site retail acquisitions, joint ventures, sub-distributor agreements and long-term fuel supply agreements. This role will work under the direction of the Fuels Marketing/M&A Attorney and supervise a team of Transactional Workflow Attorneys. This position requires the ability to have the legal acumen and business background to make strategic decisions, provide sound legal advice, and mentor other lawyers on the team.

- Understanding of large and complex energy and retail companies, and their business functions
- Commercial-mindset and strong communication skills, both written and oral
- Proven track record of managing high-priority items in high pressure environment
- Exceptional organizational and time-management skills and ability to manage multiple deadlines
- Demonstrated leadership and team collaboration skills
- Ability to work independently and as part of a team
- Manage and develop the Transactional Workflow legal team, providing guidance, training, and support to ensure effective performance
- Review, draft and negotiate definitive purchase and sale agreements, sub distributor agreements, fuel supply agreements, loan and security agreements and other closing documents with little to no oversight
- Review, draft and assist in the negotiation of branded wholesaler agreements, distributor agreements, incentive agreements and other ancillary agreements with major oil companies and independent fuel suppliers
- Negotiate and structure transactions to deliver maximum business benefit and drive prompt transaction execution
- Oversee diligence process and legal team members for retail acquisitions and divestitures, in coordination with other BU/Functions and external resources
- Provide legal advice and support to Retail Ops regarding compliance, transactional support and post-closing integration as needed
- Identify, assess and mitigate legal and supply chain risks, including those related to compliance, contracts and disruptions

- Active license to practice law
- 10+ years of experience in a corporate or transactional law firm and/or senior in-house legal position, working with a senior management team in all legal and business aspects of multi-site retail acquisitions and operations - 3+ years of Law Firm ExperienceWe value passion and potential.
