Position Overview:
We are seeking a Tax Manager to be responsible for overseeing international tax compliance and strategic planning related to the Group’s US operations, with a specific focus on inbound investment and M&A transactions. The manager will ensure compliance with cross-border tax laws and regulations, while also advising on tax-efficient structuring for US investments and corporate transactions.
Key Responsibilities: M&A and transaction planning
- Due diligence: Conduct and review tax due diligence for M&A, divestitures, and other corporate transactions to identify tax risks and opportunities.
- Structuring: Advise on and model tax-efficient structuring for inbound acquisitions, joint ventures, and other investment scenarios.
- Post-acquisition integration: Support the tax integration of newly acquired entities and assist with post-deal planning and exit strategies.
- Modeling: Build and review tax models and step sheets to illustrate the tax benefits and implications of various transaction structures.
- Inbound investment: Advise on the tax implications of inbound investments and operations, including legal entity restructuring and holding company structures.
- Tax filings: Work with income tax compliance group to insure the accurate reporting of international aspects of U.S. federal income tax returns and complex international tax forms and calculations.
- Compliance monitoring: Stay current on international and U.S. tax law changes, including provisions like CAMT, GILTI, BEAT, and Pillar 2, to assess their impact on the business.
- Audit management: Coordinate with income tax compliance group and external advisors to manage international tax audits and inquiries.
- Transfer pricing: Work with Global Transfer Pricing group to ensure the company's transfer pricing policies and compliance are consistent with international standards.
- Stakeholder collaboration: Collaborate with cross-functional teams, including income tax compliance, finance, legal, and treasury, on various tax matters.
- Experience: A minimum of 5–8 years of progressive corporate tax experience, with exposure to inbound and M&A international tax. Experience in a public accounting firm (preferably Big 4) or a multinational corporate tax department is common. Experience in commodities is Preferred.
- Education & Certification: A bachelor's degree in Accounting (or similar) is required. A master's degree in taxation (MST), Juris Doctorate (JD), or CPA (or other relevant certification) is highly Preferred.
- Technical knowledge:
- In-depth knowledge of U.S. international tax provisions (GILTI, BEAT,CAMT).
- Strong understanding of tax accounting and international tax compliance.
- Experience with cross-border transaction structuring, including tax due diligence for M&A.
- Exceptional analytical, research, and problem-solving abilities.
- Strong written and verbal communication skills; the ability to explain complex tax issues.
- Excellent project management and organizational skills.
- The expected base salary ranges from $200K-$250K. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained. Market and organizational factors are also considered. In addition to salary and a generous employee benefits package, successful candidates are eligible to receive a discretionary bonus.
