General Counsel is the Chief Legal Officer of the company and is responsible for all day-to-day activities that have (or may have) legal impact. The General Counsel (“GC”) position reports directly to the Chief Executive Officer but provides counsel to all members of the Executive Team. The GC advises executive, senior management and Board Members on critical legal issues that could have impact on the company. The GC works closely with multiple Human Resource professionals and defends the company from time-sensitive challenges involving harassment, discrimination, ADA violations, wage/hour disputes and a host of other personnel issues. The GC is the contact point for critical events confronting the business and the safety and security of its employees. The GC manages litigation and supervises outside counsel with an eye toward cost containment. The GC supports the sales, environmental and procurement departments in all contractual matters. The GC is occasionally the “voice” of the company in reporting matters of importance to the company’s corporate parent and coordinates compliance with their input. Finally, the GC should be capable of adapting to a broad range of legal concerns and focus on results that support the company’s goals, values and principles.
Responsibilities/Duties
- Provide advice and counsel to the Executive Team
- Assist senior management in all disciplines
- Support Human Resources and provide counsel on “best practices”
- Coordinate Board of Directors’ meetings
- Handle corporate compliance and governance
- Defend administrative claims (EEOC, ERD, ADA, etc.)
- Lead investigative team on employee complaints, whistleblower, etc.
- React to actual or threatened litigation and manage outside counsel (if involved)
- Assist in responding to regulatory inquiries
- Serve as a link between management and employees by handling questions, interpreting and administering policies and guidelines
- Anticipating and researching unique legal risks that could impact the company
- Provide assistance, including contract drafting, to Sales, Environmental and Procurement Departments
- Create, manage and preserve corporate records, including intellectual property
- Monitor changes in state law for multi-state business operations (currently, 6 states)
- Conduct legal research, create memorandums and generate correspondence
- Generate reports to internal and external auditors relating to pending legal matters
- Lead special tasks and projects as requested by the Executive Team

Education/Experience Requirements- Juris Doctor (“JD”) degree from an accredited law school - 7+ years of law firm and/or sole practitioner experience
- Working knowledge of civil litigation
- Experience with EEOC, ERD, ADA, FMLA and/or related administrative claims
- Experience in compliance and corporate governance
- Strong, persuasive writing skills
- High ethical standards
- Strong interpersonal and presentation skills, and ability to communicate effectively with others at all levels of sophistication in the organization
- Strong negotiating skills with both legal and financial/commercial issues
- Ability to establish and maintain strong relationships across the entire business
- Ability to work independently with little supervision
- Bachelor’s degree in Business, Finance/Accounting, Human Resources, or related discipline preferred
- Ability to work in a team environment
- Strong multitasking abilities; able to adapt to changing priorities, work on multiple projects while meeting deadlines
- Proficient understanding of business sensitivities and confidentiality
- Courteous, respectful disposition
