Job Description
The Vice President, Chief Compliance Officer (“CCO”) is responsible for setting and executing the strategy for MasterBrand’s compliance program and helping to ensure its leaders and associates do business consistently with the Company’s values and preserve its reputation for business integrity and ethics. Reporting to the Chief Legal Officer, the CCO is responsible for leading the corporate compliance program and managing risks related to bribery and corruption, money laundering, advertising, and marketing, antitrust and competition, privacy, modern slavery, customs, sanctions, trade compliance, and whistleblowing. This position is an integral member of the Legal team and is responsible for the company-wide compliance program, including policies and procedures, training, compliance counseling, third party risk management, trade counseling, business conduct investigations, privacy and compliance risk assessments. This position is critical to supporting MasterBrand’s strategic and operational objectives by championing a centralized, coordinated approach to ethics and compliance across the organization.
Responsibilities
•Provide strategic leadership and corporate compliance advice to MasterBrand, working closely with the Chief Legal Officer, the Leadership Team as well as global, regional and facility leadership.
•Design and lead MasterBrand’s enterprise compliance program that governs MasterBrand’s commitment to ensuring compliance with relevant law, industry codes, organizational standards, standards of good corporate governance, and ethics and community expectations.
•Foster a culture of compliance, ethics, and integrity to ensure a strong “tone from the top.”
•Strengthen MasterBrand’s ethics and compliance culture by leading and continuously improving MasterBrand’s compliance program and proactively documenting and implementing remedial measures, as required.
•Partner with the business, including the global, regional, and facility leadership teams, to assess the governance and management of risks as the business pursues strategic opportunities, to challenge and support delivery of the commitments and strategy of the business.
•Develop and build strong cross-functional relationships to identify, assess and anticipate emerging compliance related risk areas across MasterBrand and provide support and guidance on the management of these emerging risks.
•Participate in compliance-related programs led by the business and provide support as needed.
•Establish and build strong relationships with government and other regulatory authorities and continuously revalidate the state of compliance of the business.
•Provide subject-matter expertise and day-to-day, international and local guidance on relevant compliance and related regulatory matters in, including, without limitation, anti-bribery and corruption, anti-money laundering, advertising and marketing, antitrust and competition, privacy, modern slavery, customs and trade compliance, whistleblowing, and sanctions.
•Oversee and execute development and implementation of policies and procedures, and effective communication and training, which promote awareness and understanding of ethics and compliance principles consistent with the mission, vision and core values of MasterBrand and required regulations.
•Deliver and effective compliance monitoring program, in partnership with internal audit and business leaders, including via data-driven approach measuring the program’s overall effectiveness; develop appropriate metrics and ensure a strong feedback loop driving continuous programmatic improvement.
•Lead best in class annual risk assessments and identify opportunities to strengthen internal compliance.
•Deliver reports to – and liaise with – the Board of Directors and senior management on the efficacy of the compliance and trade programs and associated risks; effectively present, influence, and facilitate discussion and decisions related to these programs with key stakeholders and executive leadership.
•Drive expansion of the use of automated systems to implement controls and training.
•Ensure that record management systems are kept updated.
Qualifications
•JD from accredited law school.
•Admitted to practice in the US and in good standing.
•15+ years’ of relevant experience gained at a law firm and/or in-house.
•Demonstrated ability to build and lead a compliance function in an organization (preferrable a publicly traded company), partnering closely with senior leadership and cross-functional business partners.
•Experience with building and executing compliance programs in foreign countries, preferably Canada and Mexico.
•Experience conducting internal compliance audits.
•Excellent interpersonal and communication skills.
•Strong working knowledge of business operations, processes, and governance.
•Demonstrated resilience, independence, and objectivity.
•Excellent organizational skills and ability to function in a fast-paced, highly visible, and changing team environment providing consistent, high-quality output.
•Ability to function at a high level of effectiveness, flexibility, autonomy, and initiative without daily interaction with management.
•Ability to provide practical legal advice tailored to the client business and legal support on multi-jurisdictional issues/projects.
•Ability and desire to work independently and with little oversight.
•Strong oral and written communication and negotiation skills and analytical ability.
•Organizational and planning skills with the capacity to simultaneously handle a variety of complex matters under strict deadlines and pressure.
•Ability to maintain strong and productive working relationships with business partners and legal area specialists to collaboratively resolve issues.
•Ability to manage and supervise other legal staff.
