Sr. Counsel – Oil & Gas
We are seeking a Senior Counsel to join Salamander Solutions Inc. (Salamander), a PE-backed portfolio company operating in the oil & gas equipment manufacturing industry. This position will be based out of the company’s headquarters in Houston, TX. The Senior Counsel will be the first legal hire at the portfolio company level and will be supported by and collaborate regularly with the investment firm’s full-service legal department, based out of New York and Connecticut. This is a unique opportunity as the first legal hire at Salamander to form and grow the role. This attorney will provide expert legal advice and support on a wide range of issues related to the oil and gas industry, ensuring compliance with laws and regulations while mitigating legal risks. This role requires a seasoned legal professional with extensive experience in the industry, who can navigate complex regulatory environments, manage significant legal risks, and contribute to the company’s business objectives. The ideal candidate for this role is proactive and resourceful and knows how to collaborate with a variety of team members while also being an efficient individual contributor.
This position requires on-site presence.
Essential Job Duties and Responsibilities:
•Draft, review, and negotiate commercial contracts, including procurement and customer-facing contracts.
•Advise on customer negotiations globally, including relevant import/export considerations, tax implications, and local jurisdiction operational requirements.
•Manage the extensive IP portfolio and create an IP strategy that aligns with the company’s values.
•Monitor and interpret relevant laws, regulations, and policies affecting the oil and gas industry.
•Provide expert legal counsel on a wide range of issues including contracts, compliance, regulatory matters, and a strong focus on IP maintenance and protection worldwide.
•Provide advice and support on compliance and environmental issues and create an ESG policy.
•Advise on legal risks and develop risk mitigation strategies while supporting business goals.
•Proactively anticipate, identify, and escalate issues, developing and evaluating alternatives, providing advice and implementing solutions regarding transactions.
•Foster strong relationships across the organization and serve as a liaison between cross functional teams on special projects.
•Partner closely with the investment firm to maintain contract management system and other databases.
•Conduct legal research as needed.
•Supervise outside counsel as needed.
Minimum Qualifications:
Juris Doctor, admitted to the Texas State Bar. At least 5-7 years relevant law firm or in-house experience.
Knowledge, Skills, and Abilities:
•Experience with commercial contracting in the oil and gas industry is required, and international experience is preferred.
•Significant experience in the oil and gas industry with a strong understanding operations, IP, and customer equipment contracting.
•Capable of thriving in a fast-paced, entrepreneurial environment.
•A self-starter, with a strong sense of responsibility, accountability, and capable of driving results.
•Excellent detail-orientation skills, with solid proofreading, organization and communication skills.
•Ability to work independently and to prioritize workload.
•Practical and pragmatic demeanor, with a strong ability to make sound risk judgments.
•Strong collaborator, capable of working with colleagues to find an appropriate solution to enable work to move forward.
