The Role:
We are seeking a highly skilled and proactive Legal Counsel to join our team and serve as a trusted legal advisor across our operations, reporting directly to our Director of Legal. This pivotal role will support both PR Petroleum and Canco Petroleum by ensuring all legal matters align with our strategic business objectives and regulatory requirements. The ideal candidate will bring strong expertise in contract law, corporate governance, regulatory compliance, and risk management, along with the ability to lead legal initiatives that drive business success.
Responsibilities:
•Review and draft all Shareholder agreements.
•Review and draft fuel supply agreements.
•Develop and implement the organization's legal strategy in alignment with overall business goals.
•Provide legal advice and guidance to senior management and other departments.
•Review, draft, and negotiate various contracts and agreements, including vendor contracts, acquisition agreements, employment agreements, and other client agreements.
•Ensure that contracts comply with legal requirements and protect the organization's interests.
•Stay knowledgeable of changes in laws and regulations that may impact the organization.
•Monitor and ensure compliance with relevant laws, regulations, and industry standards.
•Identify and assess legal risks associated with business activities.
•Develop strategies and organizational policies to mitigate legal risks and protect the organization from potential liabilities.
•Manage and oversee any legal disputes, lawsuits, or regulatory actions involving the organization.
•Work closely with external legal counsel when necessary.
•Ensure compliance with corporate governance principles and practices.
•Oversee the preparation and filing of regulatory documents and reports.
•Manage and protect the organization's intellectual property, including trademarks, patents, and copyrights.
•Develop and manage the legal department's budget.
•Ensure cost-effective delivery of legal services.
•Manage a team of legal professionals.
•Provide guidance, mentorship, and professional development opportunities.
•Effectively communicate legal issues and advice to various stakeholders within the organization.
•Uphold the highest ethical standards and ensure the confidentiality of sensitive legal matters.
•Other duties as required.
What You Bring:
•Juris Doctor (JD) or LLB and be a member in good standing with the Law Society of BC.
•2-5+ years of experience in corporate and commercial law.
•Have experience working as an in-house lawyer, is preferred.
•Strong knowledge of contract law, corporate governance, and regulatory compliance.
•Exceptional communication and negotiation skills.
•Proven ability to work collaboratively with cross-functional teams and management.
•Demonstrated ability to handle multiple tasks and meet deadlines in a fast-paced environment.
•A commitment to maintaining the highest ethical and professional standards.
