Legal Assistant - Senior Legal Assistant

Job Duties

- Assist the Director – Tax Planning, Controversy, and Research, and other members of the tax planning team on internal and external legal matters

- Draft subsidiary board resolutions, consents, distribution/contribution agreements, and intercompany financing agreements

- Collaborate with the legal department on entity creations and dissolutions

- Work from and maintain a database of precedent documents

- Maintain and draft structure charts and transaction step-plans

- Assist with legal research projects

- Support tax controversy matters

- Prepare memoranda documenting transactions

Qualifications

- 5+ years of experience in an AmLaw 250 law firm, Big4 accounting firm, or large corporate environment

- Strong legal writing background with experience drafting complex commercial agreements

- Bachelor’s degree from an accredited 4-year university

- Experience with common non-U.S. holding company jurisdictions (preferred)
