Kindle manages 8.7 GW of generation in Ohio, Indiana, Texas, and Louisiana, with a 700 MW Combined Cycle Gas Turbine project in Louisiana and a 164 MW Simple Cycle Combustion Turbine project in Colorado, both currently under construction.
Job Summary:
Kindle is currently recruiting for the role of Corporate Paralegal, a critical role within our internal legal team. The position is based in Princeton, NJ and will report to one of the members of our Princeton-based legal team, work closely with the legal team, with frequent exposure to cross-functional team members at Kindle, law firms with whom we work, and investment entities. The position requires minimal (if any) travel.
The Corporate Paralegal will directly assist and support the members of Kindle’s legal team, with a focus on corporate governance, entity management and corporate record maintenance. The ideal candidate for this role will have a corporate paralegal background and will have strong attention to detail and organizational skills. Experience working with an energy company or with an RTO/ISO is preferred but not required.
Job Duties/Responsibilities:
Responsibilities include, but are not limited to:
•Lead entity management for Kindle and the portfolios we manage
•Assisting with forming, registering, maintaining, and dissolving corporations, limited liability companies, and other legal entities, including confirmation of name availability and coordination with our tax manager to obtain employer identification numbers
•Work with our various corporate service agents on state filings and annual reports to monitor and ensure legal compliance for entities both in Delaware and in other states where entities are registered/qualified in to do business, including payment of annual and other taxes and fees
•Maintain accurate corporate records and organizational documents, obtain good standing certificates as necessary
•Draft documents, including preparation of corporate resolutions/consents, corporate minutes and officer’s certificates
•Assist attorneys with due diligence in the areas of corporate records and support corporate transactions, including with updating closing checklists provided by outside counsel to assist Kindle legal team’s focus on closing deliverables
•Manage relationships with vendors providing corporate filing and representation services (e.g. CT & CSC)
•Lead in know-your-client (KYC) process for ISDA/hedge counterparties as well as with banks (e.g. while opening new bank accounts to serve existing and new portfolios) to support business
Minimum Requirements:
•5-7+ years of experience, preferably in a mid-to-large law firm or corporate department
•Certificate from ABA-approved paralegal education program required
•Knowledge of general recording/filing and/or electronic filing with county, state, and federal jurisdictional agencies
•Highly proficient computer and virtual communication skills, including use of Microsoft Office (Word, Outlook, excel)
