Under the direction from the Contracts Manager and Regulatory Compliance Counsel, the Contracts Counsel supports all departments within United Power by writing, reviewing, negotiating, revising, and retaining contracts. Helps the cooperative identify and mitigate risks in contracts through issue-spotting and analysis of impacts of contract provisions on the company.
Essential Job Functions:
•Review and evaluate contracts, statements of work, or other forms of agreement based on various risk factors and legal issues.
•Prepare contracts, amendments, task orders, change orders, contract terminations, etc. for internal stakeholder and third-party review.
•Ensure all contract documents are routed through appropriate internal departments for review and input.
•Prepare and route Tracking Sheets to facilitate approval and signature process for contract documents.
•Track, monitor, and manage United Power's executed contracts (expiration dates, dollar limits, etc.) in a cloud-based contracts management system, in coordination with the Contracts and Insurance Specialist.
•Add and review contract documents in construction project management system.
•Meet regularly with the Contracts team to address renewing and expiring contracts.
•Prepares for and leads regular check-in meetings with departments to discuss renewing and expiring contracts.
•Convert legacy contract documents into structured digital format using approved document management or contract lifecycle management (CLM) systems.
•Assist with administration of cloud-based system for purchase orders and certificates of insurance.
•Work with the Contracts team to evaluate and document contractor performance and compliance with contract provisions in coordination with project managers and other personnel.
•Participate in company/contractor dispute resolution.
•Review Information Request Forms submitted by third parties.
•Assist in coordinating and checking the work of other employees.
•Recommends and assists in developing new policies and procedures.
•Provide degrees of grant application and contract compliance support to other departments.
•Review and maintain conflict of interest disclosure forms and provide training on conflict of interest to the organization.
•Support damage claims for damage to United Power-owned equipment. This includes meeting with Procurement staff monthly to review open claims, provide support for non-responsive third-parties or when legal support is needed to further a claim.
•Support responding to subpoenas.
•Performs other duties as may be requested or assigned to meet the needs of United Power in the interest of good management practices.

Supervision Received and Exercised:
Reports to Contracts Manager and Regulatory Compliance Counsel.
Under limited supervision, may act as a lead. The employee receives assignments and is expected to carry them through to completion, with substantial independence. Work may be reviewed for adherence to instructions, accuracy, completeness, and conformance to standard practice and precedent. Acts as expert to various departments and may become actively involved, as required, to meet schedules and resolve problems.
Education and Experience Required:
Bachelor’s degree and Juris Doctorate with at least three (3) years relevant experience.
This position supports every department. The Contracts Counsel needs to have a firm understanding of how each one operates independently and collectively, and be able to understand the different projects and needs of each department.

Deep understanding of contracting principles with a wide variety of contracts.

•Works with Project Managers to understand the contract process, contract clauses, or how to contract without exposing United Power to unnecessary risk.
•Mitigation of risk associated with contractors negotiating different aspects of contracts that may change risk.
•Ability to explain complex topics and issues to those who are not familiar with them.
•Determines if a contractor or vendor is in compliance with contract provisions.
Discretion/Latitude:
•Acts as advisor to internal stakeholders and may become actively involved, as required, to meet schedules and resolve problems.
•Management of the contracts management system.
•Regular decision-making during negotiations to settle on agreeable contract language with vendors.
•Exercises discretion as to whether a project requires a contract or a purchase order.
•Discretion to make updates and improvements to contract templates.
•Preliminary approval of revisions to contract language prior to routing for management approval.
Impact:
Erroneous decisions will have a serious impact on the overall success of functional, division, and company operations.
Liaison:
Occasionally interacts with members or others who submit an Information Request Form.
Interacts with contractors and vendors while negotiating and updating contracts and collecting registration packets.
Often interacts with other employees to prepare, review, and coordinate contracts, ensuring contracts meet department needs. Answers questions about contracts after execution.
Teamwork is crucial to this position. The Contracts Counsel continuously coordinates with Purchasing for contracts and Statements of Work for RFPs, Project Managers for contract creation and revision, Budget and Accounts Payable for the financial components of contracts, Safety for contractor evaluations, and others.
Essential Physical & Mental Requirements:
•Eighty-five percent (85%) of the time is spent sitting, ten percent (10%) walking, and another five percent (5%) standing.
•Reaching and using the hands and fingers is frequently required while working at a desk, operating a computer and using the telephone.
•Talking clearly and hearing in an ordinary conversational tone is necessary frequently.
•Seeing near is frequently important when reading, writing and working on a computer. Eye accommodation and field of vision are necessary when working with numbers and contracts on the computer.
•Mental abilities that are very necessary to competently perform this job are alertness, precision, problem-solving, analytic ability, speaking ability, memory, concentration, judgment, writing ability, reasoning, initiative, patience and visual discrimination.
•Additional abilities the job will require occasionally are ingenuity, persuasiveness, creativity and imagination.
Working Conditions:
This job is performed inside an office building at normal temperature ranges. The noise level rarely exceeds fifty to sixty (50-60dB) decibels, which is normal conversation. There are no known atmospheric conditions or hazards associated with this position.

Typical Hiring Range: $119,800 - $140,755 annually
