Gardner Capital is an affordable housing and renewable energy developer, investor, and tax credit syndicator with primary regional offices located in St. Louis and Springfield, Missouri and Dallas, Texas. The development arm of Gardner Capital has seen significant growth and is looking to expand its team with the following position.
Gardner Capital seeks to hire a full-time corporate/real estate attorney as Counsel to be located in its Clayton, Missouri office. The successful candidate will have three to eight years of legal experience and will be a member of the Missouri Bar or able to become a member promptly. The ideal candidate will have experience in corporate transactions, commercial real estate, and litigation management. Additional experience in partnership taxation, low-income housing tax credits (LIHTC), and solar tax credit development is preferred. The successful candidate will report to Gardner Capital’s Of Counsel and will work closely with Gardner Capital’s General Counsel, Associate General Counsel, and other Gardner Capital team members.
· Draft, review, and negotiate a wide range of contracts related to affordable housing development, real estate transactions, and solar energy projects, including construction agreements, purchase and sale agreements, and financing documents.
· Review and negotiate partnership agreements and operating agreements for entities involved in affordable housing or solar energy development, with a focus on LIHTC and solar tax credit structuring.
· Manage litigation matters, including coordinating with outside counsel, overseeing strategy, tracking deadlines, and managing internal discovery and document production.
· Provide legal support on all aspects of real estate acquisition, development, and financing, including title and survey review, due diligence, and closings.
· Collaborate cross-functionally with development, asset management, compliance, and finance teams to identify and mitigate legal risks.
· Proven ability to manage litigation matters efficiently and proactively, with a strong understanding of the litigation process and strategic coordination with outside counsel.
· Strong organizational and project management skills with the ability to prioritize multiple complex tasks under tight deadlines and with minimal supervision.
· Excellent written and verbal communication skills, with a keen attention to detail and the ability to convey complex legal concepts clearly.
· Demonstrated ability to work independently while maintaining collaborative relationships with internal stakeholders and external partners.
· High level of integrity, professionalism, and a strong work ethic.
· Proficient in Microsoft Office Suite and comfortable working in a fast-paced, dynamic environment.
